Corporate Counsel
Responsibilities
To provide legal support and advise to all internal business segments
To provide legal support and advise to business units
To review, drafting and negotiations of commercial and business agreements, mergers and acquisitions transactions, corporate governance and compliance, commercial disputes, advise on law and supervision of external counsels
Job Requirements
Bachelor Degree in Law
Min 4 years of relevant work experience in corporate department of a Law Firm / MNCs
Bilingual in English & Mandarin (speak, read and write)
Able to work independently with minimum supervision
Possess commercial and transactional experience is required
Have experience in general corporate and employment matters
Able to interact and work effectively with internal and external customers, senior management and personnel at all levels
Bilingual in English & Mandarin is a must
Willing to travel within Asia and prepare to travel within short notice period
Only Singaporeans/SPRs or Malaysian need to apply
Must be willing to work in Changi
Legal Manager
Responsibilities
Candidate will:
Provide/draft contract templates, take part in contract negotiation with customers, vendors and partners for various IT contracts, with particular emphasis on IT services outsourcing, provision of managed services/professional services, data center co-location, and system integration
Advise Management of legal implications of different possible courses of action in any given situation, respond to tenders, advise on intellectual property rights protection
Manage corporate secretarial matters, advise on human resources issues and general corporate matters
Proactively advise Management on legal and commercial risks associated with transactions, propose suitable risk mitigating actions, and educate company executives in regard to legal and risk management issues
Present business-oriented advice and solutions while managing company’s legal risks
Develop organizational guidelines and policies on various legal and business issues
Work on complex legal issues where independent judgment is required, to determine appropriate action
Stay abreast of legal developments affecting the company, and synthesize the information to incorporate it into company’s transactional practices
Manage litigious issues, and liaise with and instruct external lawyers, where appropriate
Manage and maintain the company’s central repository of contracts
Supervise and provide guidance to Legal Counsel
Some travel is required within region.
Requirements (work experience, academic, etc)
More than 8 years PQE, with strong experience in IT, intellectual property and commercial areas in a law firm or multi national company, preferably an IT services vendor
Good law degree required, preferably called to the Singapore Bar
Excellent oral and written English communication skills
Proven ability to efficiently manage a large volume of transactions and must enjoy working in a dynamic, fast moving and high pressure environment
Proficiency in MS Word
Must be able to work independently, proactively and at the same time be a good team player
